Terms of Service

These terms cover XpressBooks specifically. How we handle your data is described in the Privacy Policy.
1. Agreement
XpressBooks is operated by XpressBase Inc., a California corporation at 112 E. Amerige Ave, Fullerton, CA 92832 (“XpressBooks,” “we”). By creating an account or using the service you agree to these terms. If you are agreeing for a company, you confirm you may bind it, and “you” means that company.
These terms govern XpressBooks only. Other XpressBase products have their own terms. Our Privacy Policy is part of this agreement.
2. XpressBooks is software, not an accountant
XpressBooks does not provide accounting, bookkeeping, tax, audit, legal, or financial advice, and using it does not create a professional or fiduciary relationship. Categorizations, reconciliations, reports, calculations, and reminders are tools to help you keep your own books — they are not professional judgments.
You are responsible for the accuracy and completeness of your books, for reviewing what the software produces, and for filing correct and timely tax and regulatory returns. We strongly recommend working with a qualified accountant or tax professional. Keep your own copies of source records; XpressBooks is not a system of record for statutory retention.
3. Early access
XpressBooks is in active development and offered by invitation during early access. Features may change, be added, or be withdrawn, and some are marked “coming soon” because they are not built yet. Early access is provided as-is and may be less reliable than a generally available product. Do not rely on it as your only record of your finances — keep your source documents.
4. Your account
You must be at least 18 and able to form a binding contract. You are responsible for your registration details, for keeping your credentials confidential, and for everything done under your account. Tell us at support@xpressbooks.ai promptly if you suspect unauthorized use. Invitation codes are for you and may not be resold or shared.
5. Your data is yours
Everything you enter, upload, or import — your financial records, documents, and customer information — remains yours. You grant us a limited licence to host, process, and display it solely to operate and support XpressBooks and to comply with law.
You are responsible for having the right to give us the data you provide, including personal information about your own customers, and for using it lawfully. You can export your data at any time while your account is active. On closure, bank tokens are revoked within 24 hours and your data is deleted within 30 days, apart from records we must keep by law.
6. Bank connections
Bank connections are provided by Plaid. You enter your banking credentials with Plaid — they never reach XpressBooks. Plaid returns a read-only token that lets us retrieve balances and transaction history; it cannot move money. You authorize us to use it on your behalf, and you can disconnect at any time.
Banks sometimes deliver data late, incompletely, or not at all. We are not responsible for the availability or accuracy of what your financial institution provides, and you should reconcile against your own statements.
7. AI features
XpressBooks uses AI to suggest categories for transactions and to read data out of statements and documents you upload. These outputs are probabilistic and can be wrong. They are suggestions for your review — you remain responsible for checking and approving them before relying on them, and for any entry that reaches your books. The Privacy Policy explains what data is processed and by whom.
8. Invoicing and payments
XpressBooks lets you send invoices and, where enabled, accept online payments from your customers through Stripe, subject to Stripe’s own terms. You are solely responsible for what you invoice, the goods or services behind it, applicable taxes, and any dispute, chargeback, or refund with your customer. We are not a party to those transactions and do not collect money on your behalf.
9. Fees
XpressBooks is free during early access. When paid plans begin we will give you at least 30 days’ notice before charging, and you may cancel rather than continue. Paid plans, once started, are billed in advance and renew until cancelled; fees exclude taxes; and except where the law requires otherwise, fees already paid are not refunded and partial periods are not prorated. Third-party charges — such as Stripe’s processing fees — are separate and set by them.
10. Acceptable use
- ✕ Breaking the law, infringing others’ rights, or using XpressBooks to defraud anyone — including issuing invoices for goods or services you have not provided.
- ✕ Uploading malware, attempting unauthorized access, or testing our security without written permission.
- ✕ Reverse engineering or copying the service, or reselling it without our written agreement.
- ✕ Scraping, or placing unreasonable load on the service.
- ✕ Sending unlawful, deceptive, or unsolicited bulk messages through the service.
We may suspend an account we reasonably believe is violating this section.
11. Availability and changes
We aim to keep XpressBooks available but do not guarantee uninterrupted operation, and we may perform maintenance or change features. We will not make a materially adverse change to a paid feature without notice.
12. Intellectual property
We and our licensors own XpressBooks, including its software, design, and trademarks. You get a limited, non-exclusive, non-transferable right to use it for your own business while your account is active. No other rights are granted. If you send us feedback, we may use it freely.
13. Termination
You may close your account at any time. We may suspend or terminate for material breach, non-payment, or where required by law, with notice and a reasonable chance to fix things where practical. Export your data before you go. Terms that should survive — ownership, disclaimers, liability, indemnity, governing law — do.
14. Disclaimers and liability
Except where prohibited by law, XpressBooks is provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, or that any calculation, categorization, or report will be accurate or complete.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability arising out of or relating to these terms or the service will not exceed the greater of the fees you paid us in the twelve months before the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
15. Indemnification
You will defend and indemnify XpressBase Inc. and its officers, employees, and agents against third-party claims, damages, and reasonable legal fees arising from your data, your use of XpressBooks in breach of these terms, or your violation of law or another’s rights.
16. Governing law
These terms are governed by California law, without regard to conflict-of-laws rules. Please try to resolve any dispute with us informally first by writing to legal@xpressbase.com. If that fails, the state and federal courts in Orange County, California have exclusive jurisdiction and both parties consent to that venue. Each party waives any right to a jury trial and to participate in a class action.
17. General
These terms and the Privacy Policy are the entire agreement between us on this subject. We may update them; if a change is material we will give notice before it takes effect, and continued use afterwards means you accept it. You may not assign these terms without our consent; we may assign them in a merger, acquisition, or sale of assets. If a provision is unenforceable the rest still stands, and not enforcing a provision is not a waiver of it. Neither party is liable for delays beyond its reasonable control.
